OFFICIAL RULES

NO PURCHASE IS NECESSARY TO ENTER OR WIN. VOID WHERE PROHIBITED. BY ENTERING, ENTRANT AGREES TO BE BOUND BY THESE OFFICIAL RULES AND THE DECISIONS OF SOUNDCLOUD AND THE JUDGES, WHICH SHALL BE FINAL IN ALL RESPECTS.


CONTEST PERIOD: The SoundCloud x Native Instruments: Create 360Sounds Contest (the “Contest”) starts on June 3, 2025 at 12:00 a.m. Eastern Time (“ET”) and ends on June 30, 2025 at 11:59 p.m. ET (the "Entry Period"). All Entries (as defined below) received after the Entry Period are automatically disqualified.

ELIGIBILITY: The Contest is open only to legal residents of the fifty (50) United States and the District of Columbia who are eighteen (18) years of age or older as of the date of entry, who have a current, valid account on SoundCloud with an Artist or Artist Pro subscription as of the date of entry and throughout the completion of the Contest, who are not members of any music or artist union or guild, and who are not currently party to an exclusive music recording contract or publishing deal. Employees of SoundCloud Inc. ("SoundCloud") and Native Instruments GmbH (“Native Instruments”) (collectively, the “Contest Parties”) and their respective parents, subsidiaries, affiliates, and advertising and promotion agencies, and members of their immediate family (spouse and parent, children and siblings, and their respective spouses, regardless of where they reside) and persons living in the same household, whether or not related, of such employees, are not eligible to enter or win. Void where prohibited by law. The Contest is subject to all applicable federal, state, and local laws. By participating, each entrant (“Entrant,” “you,” or “your”) agrees to abide by these Official Rules and the decisions of the Contest Parties and the judges, which shall be final and binding in all respects relating to the Contest.

HOW IT WORKS: In order to participate in the Contest, you must compose and arrange an original composition (including, without limitation, the music, lyrics, and arrangements) (the “Composition”) and then record the Composition, in the form of a quality recording (the “Master”) (the Composition and the Master shall be collectively referred to as the “Song”) using the tools available in the “NI 360” product. For purposes hereof, the Song and all other materials submitted by an Entrant in connection with the Contest shall be collectively referred to as the “Entry” or “Entries.”

HOW TO ENTER: To submit an Entry, during the Entry Period:

(1) Redeem a free NI 360 subscription or use your existing NI 360 subscription.  Free subscriptions are available to SoundCloud Artist subscribers (who will receive one (1) free month of NI 360 Essentials (+ a two (2) week trial for new users), and Artist Pro subscribers who will receive one (1) free month of NI 360 Pro (+ a two (2) week trial for new users;

(2) Use the tools in NI 360 to create a new original Song;

(3) Upload your track to SoundCloud and tag it with #NI360Creators; and

(4) Complete and submit the online entry form at https://soundcloud.com/partner/soundcloud-x-native-instruments  (“Contest Website”) with all required information, including the link to your Song on your SoundCloud page.

There is no limit to the number of Entries an Entrant may submit, but all Entries must be unique and submitted separately pursuant to the rules herein to be eligible. If collaborating with others, only the person submitting the Entry will be deemed the Entrant. All Entrants must have a SoundCloud account and Entries must be set to public. If Entrant does not have a SoundCloud account, establishing an account at soundcloud.com is free. All applicable SoundCloud terms apply. Uploading an Entry and submitting the Entry to the Contest Website shall constitute Entrant’s agreement to these Official Rules.

The Contest Parties reserve the right to allow for minor deviations from the terms hereof, based on clear intent to comply with these Official Rules, as determined by the Contest Parties in their sole discretion.

Except elements available in the NI 360 product or elements contributed by one or more individuals (each, a “Collaborator”) collaborating with Entrant on the Song, the Song must be wholly original to Entrant and owned by Entrant. If Entrant works with a Collaborator on the Song, the Entrant: (i) will be deemed to be the individual submitting the Entry; (ii) will be responsible for ensuring that the Collaborator(s) comply with these Official Rules; (iii) will be responsible for ensuring that Entrant has obtained all rights from the Collaborator(s) necessary to grant the rights granted herein; and (iv) will be awarded the prize (as detailed below).

CONTENT RESTRICTIONS: Entry may not contain, as determined by the Contest Parties in their sole discretion, any content that:
● is explicit or suggestive, violent or derogatory, obscene, profane, sexual, vulgar, or pornographic;
● is drug-related or promotes alcohol, illegal drugs, tobacco, or weapons or the use of any of the foregoing;
● promotes any activities that are unsafe or dangerous;
● promotes any particular political agenda or message;
● endorses any form of hate or hate group;
● defames, misrepresents, or contains disparaging remarks about Contest Parties, their respective products or services, or other people or companies;
● contains the names, likenesses, or other indicia of any person, living or dead, without permission;
● is offensive or otherwise inappropriate;
● communicates messages or images inconsistent with the positive images and good will to which Contest Parties wish to associate; or
● violates any law or regulation.

By submitting an Entry, Entrant represents and warrants that the Entry conforms to these Official Rules and understands that the Contest parties may disqualify the Entry for any reason, including, without limitation, if it determines that the Entry fails to conform to these Official Rules in any way or otherwise contains unacceptable content.

Without limiting any rights that the Contest Parties may have, SoundCloud shall have the right to remove the Song from SoundCloud at any time and for any reason.

REPRESENTATIONS AND WARRANTIES: Entrant hereby represents and warrants that: (a) Entrant owns 100% of the copyright in the Song and/or has a valid license from Native Instruments for the sounds in the Master; (b) Entrant has the sole and unencumbered right to grant the rights granted herein; (c) the Song is completely original and will not violate, conflict with, or infringe upon any third party rights; (d) the use of the Song as permitted herein will not cause the Contest Parties to incur any fees; (e) no assignment has been or will be made of any of the rights to the Song to a third-party; (f) Entrant will not submit their Song to any so-called “content ID” copyright protection service; (g) Entrant is not a member of any union or guild having jurisdiction over the creation, recording, or use of the Song; (h) Entrant is not currently signed to an exclusive music recording contract or publishing deal; and (i) Entrant agrees to execute any and all documents necessary to grant the rights granted herein.

GRANT OF RIGHTS: Except as set forth herein, Entrant will retain all of Entrant’s rights in and to the Song.
Without limiting any of the rights granted herein, Entrant hereby grants to the Contest Parties and their respective designees, licensees, successors, and assigns a nonexclusive, worldwide, royalty-free license to use, reproduce, distribute, display, publicly perform, create derivative works based upon, and otherwise exploit the Entrant’s name, social media handles, picture, likeness, voice, biographical information, and performance, together with any other material, edited or modified as the Contest Parties see fit, in any manner, in any and all media now known or hereafter devised, in perpetuity, for any purposes whatsoever, including, without limitation, for purposes of advertising or trade, without further compensation to, notification of, or permission from Entrant or any third party.

Entrant acknowledges and agrees that the Contest Parties shall have no obligation to exercise the rights granted herein.  Entrant also acknowledges and agrees that Entry may be posted or linked, without limitation, on the Contest Parties’ websites and social media pages and may be available to anyone with access to the internet.  Entrant agrees that the Contest Parties are not responsible for any unauthorized use of Entries by any third party.  By entering this Contest, Entrants give their express permission to be contacted by Contest Parties, or their respective designated agents, by email or direct message for Contest administration purposes only.

WINNER DETERMINATION: All eligible Entries received will be judged by qualified judges selected by SoundCloud on the following criteria: Musical skill and talent, originality and creativity, and overall appeal (the “Judging Criteria”).  The winner shall be the Entrant whose Entry is selected by the judges based on the Judging Criteria (the “Winner”).  In the event of a tie, an additional “tie-breaking” judge selected by SoundCloud will determine the Winner based on the Judging Criteria. All decisions of SoundCloud and judges are final and binding.  SoundCloud will not reveal the judging scores for any Entry.  

WINNER NOTIFICATION: Potential Winner will be notified on or about July 1, 2025.  In the event the potential winner is disqualified, or the potential winner fails to accept the prize within fourteen (14) days of notification, a runner-up may be notified at the Contest Parties’ sole discretion.

PRIZE: Winner shall receive one (1) Native Instruments S61 MK3 Keyboard ($849.00 value), one (1) year NI 360 Pro subscription ($500.00 value), and one (1) year SoundCloud Artist Pro subscription ($99 value).  Total prize value is approximately $1,448.  The prize is awarded “as is” with no warranty or guarantee, express or implied.  Winner may not substitute, assign, or transfer prize.  Native Instruments reserves the right, at its sole discretion, to substitute prize (or portion thereof) with one of comparable or greater value.  All federal, state, and local taxes, as well as all costs and expenses associated with prize acceptance and use not specified herein as being provided, are the sole responsibility of the Winner.  All prize details are at the sole discretion of Native Instruments.

RELEASE OF LIABILITY: By participating, each Entrant agrees to release, indemnify, discharge, and hold harmless SoundCloud, Native Instruments, and their respective parent, affiliates, subsidiaries, and their respective officers, directors, shareholders, employees, agents, and representatives of the foregoing (collectively, the “Released Parties”), from and against any and all claims, injury, liability, losses, and damages of any kind resulting, in whole or in part, directly or indirectly, from Entrant’s participation in the Contest or any Contest-related activity, the acceptance, use or misuse of the prize, or the exercise of the rights granted herein.  

IF ENTRANT IS A CALIFORNIA RESIDENT, ENTRANT WAIVES ANY AND ALL RIGHTS UNDER SECTION 1542 OF THE CIVIL CODE OF THE STATE OF CALIFORNIA, WHICH PROVIDES AS FOLLOWS: “A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE AND THAT, IF KNOWN BY HIM OR HER, WOULD HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY.”
DISPUTES: To the extent permitted by applicable law, by entering the Contest, Entrant agrees that any and all disputes, claims, and causes of action arising out of the Contest or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate federal or state court located in New York, New York.  All issues and questions concerning these Official Rules shall be governed by the laws of the State of New York, without giving any effect to any choice of law or conflict of law rules.

GENERAL CONDITIONS: Released Parties are not responsible for lost, late, incomplete, damaged, inaccurate, stolen, delayed, misdirected, undelivered, or garbled Entries, email, mail, or other communications of any kind.  Released Parties are also not responsible for lost, interrupted, or unavailable network, server, Internet Service Provider, website, or other connections, for miscommunications, for failed computer, satellite, telephone, or cable transmissions or lines, for technical failures, for jumbled, scrambled, or delayed, or misdirected transmissions, for computer hardware or software malfunctions, failures or difficulties, or for other errors or difficulties of any kind, whether human, mechanical, electronic, computer, network, typographical, printing, or otherwise, relating to or in connection with the Contest, including, without limitation, errors or difficulties which may occur in connection with the administration of the Contest, the processing or judging of Entries, the announcement of the prize, or in any Contest-related materials. Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Contest. Released Parties are also not responsible for injury or damage to any person's computer related to or resulting from participating in this Contest. Persons who tamper with or abuse any aspect of the Contest or any website, who act in an unsportspersonlike or disruptive manner, or who are in violation of these Official Rules, as solely determined by SoundCloud and/or Native Instruments, will be disqualified and all associated Entries will be void.

Should any portion of the Contest be, in SoundCloud’s or Native Instruments’ respective sole opinion, compromised by virus, worms, bugs, non-authorized human intervention, or other causes, which, in the sole opinion of SoundCloud and/or Native Instruments, corrupt or impair the administration, security, fairness, or proper play, or submission of Entries, SoundCloud and Native Instruments reserve the right at their sole discretion to suspend, modify, or terminate the Contest, and if terminated, at their discretion, select the potential Winner from all eligible, non-suspect Entries received prior to action taken, using the judging procedure outlined above or as otherwise deemed fair and appropriate by SoundCloud and Native Instruments.

CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE THE CONTEST WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SOUNDCLOUD AND NATIVE INSTRUMENTS RESERVE THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES (INCLUDING, WITHOUT LIMITATION, ATTORNEYS’ FEES) FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT OF THE LAW, INCLUDING, WITHOUT LIMITATION, CRIMINAL PROSECUTION.

PRIVACY: Submission of any content or information on the Contest Website is subject to SoundCloud’s posted policies, including SoundCloud’s privacy policy.  Any personally identifiable information submitted with an Entry will be shared with Native Instruments and will be used by SoundCloud in accordance with SoundCloud’s privacy policy posted at https://soundcloud.com/pages/privacy.
